This Web Design Contract (“Contract”) is made and entered into on the date of the last signature below by and between:

1. Services. Web Designer shall provide the following services to Client: _________________________ (the “Services”).
2. Deliverables. Web Designer shall deliver the following to Client: _________________________ (the “Deliverables”).
3. Timeline. The Services shall be completed by ____________. Any delay in completion of the Services shall not relieve Web Designer of its obligations under this Contract.
4. Payment. Client shall pay Web Designer the sum of ____________ upon completion of the Services.
5. Ownership. All Deliverables shall be the property of Client upon receipt of full payment.
6. Confidentiality. Web Designer shall not disclose any confidential information of Client to any third party.
7. Warranty. Web Designer warrants that the Deliverables shall perform in accordance with the specifications provided by Client.
8. Termination. Either party may terminate this Contract with ____________ days written notice, or with immediate effect if either party commits a material breach of this Contract.
9. Governing Law. This Contract shall be governed by and construed in accordance with the laws of the Republic of South Africa.
10. Entire Agreement. This Contract constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether oral or written.
11. Severability. If any provision of this Contract is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
12. Waiver. A party’s failure to enforce any provision of this Contract shall not be deemed a waiver of a party’s right to subsequently enforce such provision or any other provision of this Contract.
13. Notices. Any notice or communication required or permitted under this Contract shall be in writing and delivered in person, sent by registered mail, or email. Notices to Client shall be sent to the address provided above, and notices to Web Designer shall be sent to the address provided above.
